Terms of Service

1. Acceptance of Terms

By accessing or using the Cornerstone Contracts platform ("Service"), operated by Cornerstone Contracts Inc. ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Cornerstone Contracts is a platform that scans Canadian procurement portals and construction job boards, matches bid opportunities to your professional profile using a deterministic per-profile scoring engine, and generates AI-drafted bid proposals from those matches. The Service is intended for licensed contractors and certified tradespeople operating in Canada.

3. Account Responsibilities

• You must provide accurate, current information during registration and keep your profile up to date.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access to your account.
• You must be at least 18 years of age to create an account.
• One person or company may maintain only one account.

4. AI-Generated Content Disclaimer

The match scores, match reasons, and draft proposals generated by our Service are produced by artificial intelligence and are provided for informational purposes only. They do not constitute professional advice, legal counsel, or a guarantee of bid success. You are solely responsible for reviewing, editing, and verifying all AI-generated content before submitting any bid or proposal.

We make no representations or warranties regarding the accuracy, completeness, or suitability of AI-generated content for any particular procurement opportunity.

5. Data Accuracy & Job Listings

Job postings displayed in the Service are scraped from publicly available Canadian procurement portals. We do not guarantee the accuracy, completeness, or timeliness of any listing. Closing dates, requirements, and other details may change after we index them. Always verify details on the original posting source before taking action.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to reverse-engineer, scrape, or extract data from the Service beyond its intended use.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Share your account credentials or allow others to access the Service through your account.
• Submit false, misleading, or fraudulent profile information.
• Use the Service to submit bids or proposals that misrepresent your qualifications.

7. Intellectual Property

The Cornerstone Contracts name, logo, and platform design are the property of Cornerstone Contracts Inc. AI-generated draft proposals are provided to you as a starting point — once you edit and submit a proposal, the final version is your own work product. We retain no ownership over your submitted bids.

8. Service Availability & SLA

We strive to maintain high availability of the Service. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Scheduled maintenance and external scraper source changes may temporarily affect data freshness.

Free tier. The Service is provided on a best-effort basis with no uptime commitment.

Pro tier. We commit to a monthly uptime of 99.5% for the dashboard, proposal generation, and matching engine, measured per calendar month. If we fall short:

• 99.0%–99.5% uptime: 10% credit on the affected month's subscription fee.
• 95.0%–99.0% uptime: 25% credit on the affected month's subscription fee.
• Below 95.0% uptime: 50% credit on the affected month's subscription fee.

Enterprise tier. We commit to a monthly uptime of 99.9% for the same components. Credit structure mirrors the Pro tier above, applied at stricter thresholds (99.5%–99.9% = 10%, 99.0%–99.5% = 25%, below 99.0% = 50%).

SLA exclusions. The uptime commitment does not cover: (a) scheduled maintenance announced at least 24 hours in advance; (b) outages caused by upstream providers outside our reasonable control, including Anthropic, Google AI, OpenAI, Stripe, Supabase, Vercel, and Resend; (c) outages caused by your own configuration (e.g., revoked or rate-limited bring-your-own-key credentials); (d) factors outside our reasonable control (force majeure, internet backbone failures, government action).

Claiming a credit. Credits are not automatic. Email contact@cornerstonecontracts.com within 30 days of the affected month with the dates and approximate downtime windows. We will verify against our internal monitoring and apply approved credits to your next invoice. Credits are the sole and exclusive remedy for any SLA breach and are capped at one month's subscription fee per month.

9. Limitation of Liability

To the maximum extent permitted by law, Cornerstone Contracts Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, without limitation, lost profits, lost bids, business interruption, or damages resulting from reliance on AI-generated content. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Subscriptions, Billing & Cancellation

Paid plans (Pro and Enterprise) are billed monthly in Canadian dollars via Stripe. Your subscription automatically renews on the same day each month until cancelled. By starting a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation. You may cancel your subscription at any time from Settings → Billing (or by contacting us). Cancellations take effect at the end of the current billing period — you will retain paid features until then, and you will not be charged again.

Refunds. Subscription fees are generally non-refundable. We will, however, issue a prorated refund if (a) you cancel within 7 days of your first paid charge and have generated fewer than 3 AI proposals on the plan, or (b) a documented Service outage materially prevented you from using paid features for more than 24 consecutive hours in the billing period. Refund requests must be made within 30 days of the charge by emailing contact@cornerstonecontracts.com. Price changes.We will give at least 30 days' email notice before any price increase affecting your plan. You may cancel before the new price takes effect.

Taxes. Prices are exclusive of GST/HST and other applicable taxes, which will be added at checkout where required by Canadian law.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately and your data will be handled in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Edmonton, Alberta.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
